Rakuten x Rent the Runway Giveaway (“Sweepstakes”) is sponsored by Ebates Performance Marketing, Inc. dba Rakuten Rewards, 160 Spear Street, Suite 1900, San Francisco, CA 94105 (“Rakuten”) and Rent the Runway, Inc. (“RTR”), 10 Jay Street, Brooklyn, NY 11201 (collectively, “Co-Sponsors”)

1. Eligibility: The Sweepstakes is open to legal residents of the contiguous United States and the District of Columbia, excluding other territories, Alaska, and Hawaii, and who are at least 18 years of age or older and have a Rakuten account (“Entrant”). If you do not have a Rakuten account, establishing one is free. All Rakuten terms apply. Employees of Co-Sponsors, their parents, subsidiaries, affiliates and advertising and promotion agencies and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, are not eligible to participate or win. The Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations. Void where prohibited. 2. Sweepstakes Period: The Sweepstakes begins on February 7, 2023 at 9:00 a.m. PT and ends on February 9, 2023 at 9:00 a.m. PT (“Sweepstakes Period”).

3. How to Enter the Sweepstakes: Entrants must have an Instagram account. There are two (2) ways to enter (each an “Entry Method”).

(A) Instagram: If Entrants already have an Instagram account, Entrants will have to sign into their accounts. If Entrants are not existing members of Instagram, Entrants will be required to follow the directions to join Instagram. When Entrants join Instagram, Entrants agree to the Instagram Terms of Service and Privacy Policy. Membership to Instagram.com is free. Using Instagram, during the Sweepstakes Period, Entrants must: 1) follow @Rakuten and @renttherunway; 2) like the Rakuten x Rent the Runway Giveaway post; and 3) tag three (3) friends (in the “Comment” section) in one single comment to the Rakuten x Rent the Runway Giveaway post.

(B) Alternate Method of Entry by Online Form Submission: Entrants may also enter the Sweepstakes by submitting an online form via the appropriate Web Link listed below. The online form must contain Entrant’s full true name, Instagram username, and Entrant’s Rakuten email address. All entries via this method must be received by 9:00 a.m. PT on February 9, 2023 according to Rakuten’s time clock.

An Entrant can enter a maximum of one (1) entry during the Sweepstakes Period.

Released Parties (as defined below) are not responsible for lost, late, damaged, delayed, destroyed, misdirected, inaccurate, stolen, false, incomplete, or garbled entries or comments. Such entries are void and will not be accepted.

ENTRY REQUIREMENTS: Entry must be in keeping with Co-Sponsors’ image & not be offensive or inappropriate, as determined by Co-Sponsors in their sole discretion. Entry must not defame or violate or infringe upon the rights of any person or entity. Entrants must at all times comply with the Rakuten Terms and Conditions and RTR Terms of Service. Co-Sponsors reserve the right to disqualify any entry and remove any post that they determine, in their sole discretion, is not in compliance with these Official Rules.

Only a maximum of one (1) entry for this Sweepstakes Period will be accepted, regardless of Entry Method. Entries generated by script macro or other automated means or by any means that subverts the entry process will be void. All entries become the property of Co-Sponsors. Entries in excess of the stated limitation will be void.

4. Odds: Odds of winning a prize depend on the number of eligible entries received.

5. Winner Selection and Notification of Potential Winner: One (1) potential winner will be selected on or about the following day the Sweepstakes Period ends at 9:00 a.m. PT at random by a representative of Rakuten from among all eligible entries received for that Entry Period (“Potential Winner”) and contacted via Instagram direct message from the @Rakuten Instagram account using the information provided at the time of entry. Potential Winner will be announced in the caption of the Instagram giveaway post after giving permission to share their handle no later than February 15, 2023.

Potential Winner will be required to respond (as directed) within three (3) calendar days of attempted notification. The failure to respond timely to the notification may result in forfeiture of the prize and, in such case Rakuten may randomly select an alternate Potential Winner from among the remaining eligible entries. If a Potential Winner does not have a Rent the Runway account, Potential Winner will be required to create a free Rent the Runway account to receive the membership prize. In addition, Potential Winner will also be required to execute and return an affidavit of eligibility / liability / publicity release (“Release”) within a time period stated by Rakuten. Only up to three (3) alternate Potential Winners may be randomly selected for the prize from among the remaining eligible entries if the Potential Winner: (i) cannot be reached; (ii) fails to prove eligibility, obtain all signatures on the Release and/or return any documents or information required by Co-Sponsors in a timely manner as required pursuant to these Official Rules; (iii) cannot accept or receive the prize for any reason or (iv) is not I compliance with these Official Rules. In the event of a dispute as to the identity of the entrant or winner, the entrant or winner (as applicable) will be deemed to be the person in whose name the Rakuten account was opened and he/she must comply with these Official Rules.

6. Prize: One winner will win (2) prizes consisting of the following:     

• One $500 Cash Back Bonus to winner’s Rakuten account; and
• Three (3) months of an RTR membership of 8 items per month; Approximate Retail Value (“ARV”) $432. After three (3) months, the RTR membership will renew automatically each month at the then applicable membership price as listed on RTR’s website or mobile application until paused or canceled. Memberships can be paused or canceled at any time by visiting your membership settings. Additional taxes/fees may apply.

Total ARV of prize is $932. Prize is awarded “as is” with no warranty or guarantee, either express or implied. Winner must comply with all applicable Rakuken and Rent the Runway terms and conditions associated with use of the prize. Winner is responsible for all federal, state and local taxes as well as all costs and expenses associated with prize acceptance and use not specified herein as being provided. Winner is not permitted to transfer, assign, or substitute prize. Rakuten has the right to substitute a prize (or portion thereof) of comparable or greater value, in their sole discretion. Non-cash prize cannot be redeemed for cash. All prize details are at Co-Sponsors’ sole discretion.

7. Publicity: By participating in the Sweepstakes, any Entrant in the Sweepstakes, irrevocably grants the Co-Sponsors and their respective successors, assigns and licensees, the right to use such Entrant’s comments on Sponsor’s giveaway posts, name, username, likeness, biographical information in any and all media for any purpose, including without limitation, commercial, advertising and promotional purposes as well as in, on or in connection with the Sweepstakes or other promotions, and hereby release the Co-Sponsors from any liability with respect thereto, unless prohibited by law.

8. General Conditions: By participating, Entrants agree to be fully and unconditionally bound by these Official Rules and the decisions of Co-Sponsors and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. Any portion of the Sweepstakes may be canceled, suspended and/or modified, in whole or in part, if in Co-Sponsors’ opinion any fraud, technical failure or other factor beyond our control impairs the integrity or proper functioning of the Sweepstakes. If terminated, Co-Sponsors reserve the right at their sole discretion to select the Potential Winner in a random drawing from among all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Co-Sponsors. Co-Sponsors reserve the right in their sole discretion to disqualify any individual (and to disqualify false entries) who is found to be tampering with the entry process or the operation of the Sweepstakes or Co-Sponsors’ websites, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Co-Sponsors reserve the right to seek damages (including, without limitation, attorneys’ fees) and other remedies from any such person to the fullest extent permitted by law including, criminal prosecution. Entrants may not enter with multiple identities or use any automated system, bot or other device or artifice to enter or obtain more than the maximum number of qualified entries.

9. Limitations of Liability: If for any reason an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, the Entrant’s sole remedy is another entry in the same Sweepstakes during the Sweepstakes Period. All entrants also agree to release, discharge, indemnify and hold harmless Co-Sponsors, Meta Platforms, Inc. (dba Instagram), and their respective parents, subsidiaries, affiliates and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) from and against any claims, damages, disability, attorneys’ fees, and costs of litigation and settlement, as well as any liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from: (i) use, redemption, acceptance, possession, ownership, or misuse of any prize, or (ii) participation in any Sweepstakes-related activity or participation in this Sweepstakes. Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, delayed, garbled or damaged entries, comments, Releases, mail or email, or communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of referrals or entries, the announcement of the prize, or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer or any electronic device related to or resulting from participating in this Sweepstakes, downloading materials from or use of the website, or use of the platform. In the event Co-Sponsors are prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, explosion, labor dispute or strike, act of God or public enemy, or any federal, state or local government law, order, or regulation, or other cause not reasonably within Co-Sponsors’ control (each a “Force Majeure” event or occurrence), Co-Sponsors shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated before the designated end date, Co-Sponsors will (if possible) select the winner from all eligible, non-suspect entries received as of the date of the event giving rise to the termination or award the prizes as otherwise deemed fair and appropriate by Co-Sponsors. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

10. Disputes: Disputes regarding these Official Rules and/or the Sweepstakes will be governed by the laws of the State of California without regards to its conflict of laws principles. Decisions of Co-Sponsors are binding and final. No claimant in any dispute involving Co-Sponsors shall be entitled to claim or obtain indirect, punitive, incidental or consequential damages. Sponsor’s failure to enforce any provision in these Official Rules shall not constitute a waiver of that provision.

11. Sweepstakes Results: For name of the winner, available on or after February 15, 2023, send an email to socialteam@rakuten.com. Requests received after February 28, 2023 will not be honored.

12. Mandatory Social Media Disclosure: The Sweepstakes are in no way sponsored, endorsed or administered by, or associated with Instagram or any other social media platform. Entrants are providing their information to Co-Sponsors and not to Instagram or their referenced social media platforms. The information Entrants provide will only be used for administering the specific sweepstakes and for marketing purposes in accordance with Co-Sponsors’ respective privacy policies, located at http://www.Rakuten.com/privacy_policy.htm and https://www.renttherunway.com/privacy.
